Two of Solana’s DeFi applications, decentralized exchange Orca and lending platform Loopscale, are merging under a single brand, Formation, and relocating operations to New York. The newly combined entity plans to finance assets in AI, energy, robotics, and defense while pursuing entry into regulated U.S. markets.
The move marks one of the clearer pivots from permissionless DeFi toward regulated financial infrastructure yet attempted on Solana. Orca has been a staple of the chain’s liquidity layer since the last cycle, and Loopscale brought credit-oriented primitives to an ecosystem dominated by spot trading and perpetual swaps. Combining them under one roof in a jurisdiction as aggressive as New York signals intent to court institutional capital and TradFi partnerships, not just whale farmers and MEV bots.
What Formation Is Chasing
Formation’s stated targets, AI, energy, robotics, defense, aren’t the usual DeFi collateral set. These are sectors where capital flows through traditional rails: syndicated debt, project finance, equipment leasing. Formation appears to be positioning itself as a bridge, using blockchain settlement and lending rails to serve asset classes that haven’t touched crypto in any serious way. Whether that means tokenized real-world assets, on-chain credit facilities backed by hard infrastructure, or something else entirely wasn’t detailed in the announcement. But the regulatory posture suggests they’re building for compliance from day one, not bolting it on after a Wells notice.
Consolidation on Solana
The Orca-Loopscale combination is notable less for its individual pieces than for what it represents: Solana DeFi is maturing past the app-layer fragmentation that defined 2021 and 2022. Protocols are merging, teams are relocating to the U.S., and the pitch is shifting from “faster Ethereum” to “infrastructure for assets Ethereum won’t touch.” Formation’s New York domicile and explicit focus on regulated markets puts it in direct competition with centralized platforms like Figure and Securitize, but with native Solana settlement underneath.
Orca’s liquidity and Loopscale’s credit primitives give Formation two functional product lines out of the gate. The real test is whether New York regulators and the institutional allocators Formation is courting see value in a Solana-native stack, or whether they demand the same Ethereum-maximalist posture that’s dominated tokenized asset issuance so far. If Formation pulls off the regulatory threading and closes deals in any of its target verticals, it becomes a case study for DeFi 2.0, less about decentralization theater, more about capital efficiency in markets that don’t care about your ethos.
